Terms & Conditions
The terms governing your use of SAMRISK.

1. Agreement to terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SAMRISK Ltd ("SAMRISK", "we", "us", or "our") concerning your access to and use of the SAMRISK platform (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Account registration
2.1 Account creation
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
2.2 Account eligibility
You represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the Service under applicable law
- Your use will comply with all applicable laws and regulations
2.3 Company accounts
If you are creating an account on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
3. Use of service
3.1 License grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
3.2 Acceptable use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Transmit viruses, malware, or other malicious code
- Reverse engineer, decompile, or disassemble the Service
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the Service to compete with us or develop competing products
3.3 User content
You are responsible for all content you upload, submit, or transmit through the Service ("User Content"). You retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content to provide and improve the Service.
4. Subscription and payment
4.1 Subscription plans
The Service is offered through various subscription plans. By subscribing, you agree to pay all applicable fees according to your chosen plan.
4.2 Billing
- Subscription fees are billed in advance on a recurring basis (monthly or annually)
- You authorize us to charge your payment method on file
- All payments are processed by Stripe — your card details are handled directly by Stripe and never stored on SAMRISK's servers
- All fees are non-refundable except as required by law or expressly stated
- We reserve the right to change pricing with 30 days' notice
- Failure to pay may result in suspension or termination of your account
4.3 Free trials
If we offer a free trial, it will automatically convert to a paid subscription unless you cancel before the trial period ends. No charges will be made during the trial period.
5. Data and privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
5.1 Data security
We implement reasonable security measures to protect your data. Data is encrypted in transit and at rest, hosted on Supabase (PostgreSQL + auth), with files stored in DigitalOcean Spaces. However, no system is completely secure, and we cannot guarantee absolute security.
5.2 Data backup
While we perform regular backups, you are responsible for maintaining your own backup copies of critical data. We are not liable for any data loss.
6. Intellectual property
6.1 Our rights
The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by SAMRISK and protected by copyright, trademark, and other intellectual property laws.
6.2 Your rights
You retain all rights to your User Content. By using the Service, you do not transfer ownership of your data to us.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without obligation to you.
7. Warranties and disclaimers
7.1 Service availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.
7.2 "As is" basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.3 No professional advice
The Service is a tool for managing risk assessments and building information. It does not constitute professional advice, legal counsel, or a substitute for qualified compliance services. You should consult qualified professionals for specific guidance.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMRISK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless SAMRISK, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
10. Termination
10.1 By you
You may terminate your account at any time by contacting us or using the account deletion feature. Termination does not excuse payment obligations for services already provided.
10.2 By us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Fail to pay applicable fees
- Engage in fraudulent or illegal activities
- Pose a security risk or harm other users' experience
10.3 Effect of termination
Upon termination, your right to use the Service immediately ceases. We will delete your data within 30 days unless retention is required by law. Provisions that by their nature should survive termination will continue to apply.
11. Modifications to terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending email notification (for significant changes)
Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Dispute resolution
12.1 Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
12.2 Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. Either party may seek injunctive relief in court if necessary.
12.3 Class action waiver
You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class-wide arbitration.
13. General provisions
13.1 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SAMRISK regarding the Service.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
13.5 Force majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, or acts of government.
